MARK CARUSO
Executive Chairman & CEO
Mark Caruso brings extensive experience in mining, earthmoving and civil engineering construction.
He served as Executive Chairman of Allied Gold Mining PLC, where he successfully delivered the Gold Ridge Project in the Solomon Islands and the Simberi Gold Project in Papua New Guinea. Under his leadership, Allied Gold Mining achieved listings on the London and Toronto Stock Exchanges and secured a $1.2 billion merger with St Barbara in 2012.
Mark also held the position of Executive Chairman/CEO at MRC, where he oversaw operations of the world-class Tormin Heavy Minerals Sands Project. He diversified the company into the battery minerals sector, acquiring some of the world’s highest-grade graphite projects. With a proven ability to secure capital through debt and equity across global jurisdictions, Mark is a seasoned leader with a track record of driving growth and value.
ROBERT DOWNEY

Robert Downey is a highly skilled corporate lawyer and governance expert. Admitted as a barrister and solicitor of the Supreme Court of Western Australia in 1999, Robert built a strong foundation in energy, corporate law, and mining during his tenure at Phillips Fox and Blakiston & Crabb. He later served as General Counsel for a Canadian oil and gas exploration company, successfully leading its dual listing, a £50 million capital raise, and a scheme-of-arrangement takeover.
Since founding Dominion Legal in 2016, Robert has specialized in providing client-focused legal services. He is experienced in navigating dual listings, cross-border asset acquisitions, IPOs, and corporate strategy. Robert has held various directorships in publicly listed companies and remains a trusted advisor on governance and strategic matters.
DAVID ARGYLE
Non-Executive Director
David is a global mining and industrial marketing professional with over 30 years of experience in private and public company operations. He held senior management positions in mining and chemical projects in China, South East Asia, Central Asia and Australia.
He has been involved in number of resource and investment companies and recently he was a founder/co-owner of F&M Gold Resources Ltd which acquired the Bonikro Gold Mine in Cote D’Voire from Newcrest Gold Mines and merged with Allied Gold Mines. He led the acquisition and merger teams along with select site operation responsibilities, increased gold production and resources by 30% & 80% respectively while reduce OPEX/Au by 10%.
David holds a Degree in Commerce from the University of Western Australia and an MBA from the University of Michigan.
KIM WAINWRIGHT

Kim Wainwright is the founder and CEO of Xplore Resources, a Brisbane-based firm specializing in exploration and professional services for mining projects both in Australia and overseas. Since 2019, Kim has been the Chair of the Queensland Exploration Council, where she drives initiatives to promote Queensland’s mineral potential globally.
Beyond her corporate endeavors, Kim contributes to the not-for-profit sector as a board member of the Prince Charles Hospital Foundation, helping foster strong community connections through charitable work. Her leadership reflects a commitment to innovation and sustainable industry growth.
BAHMAN RASHIDI

Bahman Rashidi is a senior geologist with over 25 years of global experience across Australia, Africa, Central Asia, the Middle East, Europe, and South America. He has worked with a variety of junior and major resource companies, including Newmont (formerly Normandy Mining), 162 Group, and Mineral Commodities.
Bahman’s expertise spans greenfield exploration, project development, mineral production, and executive leadership across diverse commodities such as gold, silver, base metals, and battery minerals. A Registered Professional Geoscientist (RPGeo) and member of the AusIMM and AIG, Bahman is recognized as a Competent Person under the JORC Code (2012).
TONY SHEARD

Tony Sheard is a highly regarded Chief Financial Officer with over 20 years of experience in senior finance roles within ASX-listed mining companies and an additional 10 years in engineering, consulting, and resource development.
He has worked as CFO at Mineral Commodities Ltd, overseeing mineral sands and graphite production, and at MSP Engineering Pty Ltd, focusing on project delivery and consulting for the mining industry. Tony’s qualifications include a Bachelor of Commerce from UWA, an MBA from Charles Sturt University, and specialized certifications in finance and energy, showcasing his comprehensive financial expertise.

Simon Phillips is an experienced investment professional with an impressive track record in precious metal mining and exploration. During his 10 years as Chief Investment Officer at Aurum Planning, Simon allocated significant funds to both established and emerging mining projects, many of which grew into profitable operations, generating substantial shareholder value.

Dale is a highly qualified finance professional with over 20 years of experience as a CFO, Company Secretary, and corporate advisor. Beginning his career at Ernst & Young, Dale has developed a strong expertise in working with ASX-listed mining companies. A Chartered Accountant and Secretary, Dale holds a Bachelor’s degree from Curtin University and is an active member of both the Institute of Chartered Accountants and the Governance Institute of Australia.
